{"id":102114,"date":"2023-04-26T17:51:00","date_gmt":"2023-04-26T12:21:00","guid":{"rendered":"https:\/\/tradebrains.in\/features\/?p=102114"},"modified":"2023-04-26T17:48:07","modified_gmt":"2023-04-26T12:18:07","slug":"dalmia-bharat-executes-definitive-agreements-with-jal-to-acquire-cement-assets","status":"publish","type":"post","link":"https:\/\/tradebrains.in\/features\/dalmia-bharat-executes-definitive-agreements-with-jal-to-acquire-cement-assets\/","title":{"rendered":"Dalmia Bharat executes definitive agreements with JAL to acquire cement assets"},"content":{"rendered":"<div class=\"trade-content_2\" style=\"margin-left: auto;margin-right: auto;text-align: center;\" id=\"trade-1031035151\"><p><a href=\"https:\/\/tradebrains.in\/get\/telegram\/\"><img decoding=\"async\" class=\"alignnone wp-image-101992\" src=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2023\/01\/telegram-channel-300x119.png\" alt=\"\" width=\"148\" height=\"59\" \/><\/a> <a href=\"https:\/\/news.google.com\/publications\/CAAqBwgKMN3Epgswxc--Aw?hl=en-IN&amp;gl=IN&amp;ceid=IN%3Aen\"><img decoding=\"async\" class=\"alignnone wp-image-123430\" src=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-300x82.png\" alt=\"follow-on-google-news\" width=\"222\" height=\"61\" srcset=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-300x82.png 300w, https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-150x41.png 150w, https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news.png 468w\" sizes=\"(max-width: 222px) 100vw, 222px\" \/><\/a><\/p>\n<\/div><p>Dalmia Bharat on Wednesday said it has executed definitive agreements with debt-ridden Jaiprakash Associates Ltd (JAL) to acquire the latter&#8217;s cement assets as per an earlier announcement.<\/p><div class=\"trade-content_7\" style=\"margin-left: auto;margin-right: auto;text-align: center;\" id=\"trade-3117607219\"><!-- Composite Start --> \r\n <div id=\"M923760ScriptRootC1549812\"> \r\n <\/div> \r\n <script src=\"https:\/\/jsc.mgid.com\/t\/r\/tradebrains.in.1549812.js\" async> \r\n <\/script> \r\n <!-- Composite End --><\/div><p>Dalmia Cement (Bharat) Ltd (DCBL), a subsidiary of Dalmia Bharat, on Tuesday executed definitive agreements with JAL for the acquisition of JP Super Cement Plant in Uttar Pradesh at an enterprise value of Rs 1,500 crore and costs and expenses of up to Rs 190 crore.<\/p><p>However, this will be subject to various clearances and approvals related to JP Super plant and mines, said a regulatory update from Dalmia Bharat Ltd (DBL).<\/p><p>Moreover, it is also subject to &#8220;fulfilling certain conditions precedent including the final outcome of the pending arbitration between JAL and Ultratech Cement Ltd.&#8221; On December 12, 2022, DBL had announced that it will acquire cement assets of Jaypee Group&#8217;s flagship company JAL and its associate firm at an enterprise value of Rs 5,666 crore.<\/p><div class=\"trade-content_5\" id=\"trade-3651863213\"><script async src=\"https:\/\/pagead2.googlesyndication.com\/pagead\/js\/adsbygoogle.js?client=ca-pub-4023722985638610\"\r\n     crossorigin=\"anonymous\"><\/script>\r\n<!-- in_content_2_news -->\r\n<ins class=\"adsbygoogle\"\r\n     style=\"display:block\"\r\n     data-ad-client=\"ca-pub-4023722985638610\"\r\n     data-ad-slot=\"7925020301\"\r\n     data-ad-format=\"auto\"\r\n     data-full-width-responsive=\"true\"><\/ins>\r\n<script>\r\n     (adsbygoogle = window.adsbygoogle || []).push({});\r\n<\/script><\/div><p>As part of that, DCBL also executed a share purchase agreement on Tuesday for acquisition of 74 per cent shareholding of Bhilai Jaypee Cement Ltd (BJCL) at an enterprise value of Rs 666 crore.<\/p><p>&#8220;DCBL has also signed a long-term lease agreement (having a term of seven years) with Jaiprakash Power Ventures Ltd for its Nigrie Cement Grinding Unit of 2 million MTPA (Nigrie Unit) located at Singrauli in Madhya Pradesh, which is subject to fulfilment of certain conditions precedent,&#8221; it said.<\/p><p>DCBL has the option to purchase the Nigrie Unit anytime within the lease period at an enterprise value of Rs 250 crore, DBL said.<\/p><p>In December, DCBL had entered into a &#8220;binding framework agreement for the acquisition of clinker, cement and power plants from JAL and its associate company.&#8221; The deal includes a total cement capacity of 9.4 million tonne per annum(MTPA), along with a clinker capacity of 6.7 MTPA and thermal power plants of 280MW at an enterprise value of Rs 5,666 crore, it added.
