It was postponed twice due to an ongoing fight between Subhash Chandra family-led promoters and its single largest shareholder Yes Bank Ltd (YBL).<\/p><div class=\"trade-content_7\" style=\"margin-left: auto;margin-right: auto;text-align: center;\" id=\"trade-2551499452\"><!-- Composite Start --> \r\n <div id=\"M923760ScriptRootC1549812\"> \r\n <\/div> \r\n <script src=\"https:\/\/jsc.mgid.com\/t\/r\/tradebrains.in.1549812.js\" async> \r\n <\/script> \r\n <!-- Composite End --><\/div><p>At its 33rd AGM, Dish TV management is seeking shareholders\u2019 nod for reappointment of Ashok Kurien on the board besides the adoption of the financial statement of the company, which is facing a notice from YBL for reconstitution of the board by removing its Managing Director Jawahar Goel and four other directors from the board.<\/p><p>YBL, which holds a 24.19 per cent share of Dish TV, has moved the NCLT after the board of Dish TV rejected YBL\u2019s requisition notice to convene EGM to reconstitute the board. Last week in its hearing, the NCLT did not pass any order over Dish TV\u2019s plea to stay the Yes Bank\u2019s right to vote in the AGM. This would be a testing time for the Chandra family\u2019s control over Dish TV, which is a leading player in the Direct-to-Home segment.<\/p><p>In the AGM, Dish TV has proposed three resolutions \u2014&nbsp;<\/p><div class=\"trade-content_5\" id=\"trade-939066342\"><script async src=\"https:\/\/pagead2.googlesyndication.com\/pagead\/js\/adsbygoogle.js?client=ca-pub-4023722985638610\"\r\n     crossorigin=\"anonymous\"><\/script>\r\n<!-- in_content_2_news -->\r\n<ins class=\"adsbygoogle\"\r\n     style=\"display:block\"\r\n     data-ad-client=\"ca-pub-4023722985638610\"\r\n     data-ad-slot=\"7925020301\"\r\n     data-ad-format=\"auto\"\r\n     data-full-width-responsive=\"true\"><\/ins>\r\n<script>\r\n     (adsbygoogle = window.adsbygoogle || []).push({});\r\n<\/script><\/div><ol class=\"wp-block-list\"><li>adoption of standalone and consolidated accounts for FY21<\/li><li>re-appointment of non-executive and non-independent director Ashok Kurien and<\/li><li>ratifying the remuneration of cost auditors.<\/li><\/ol><p>The matter has also divided the opinion of three advisory firms \u2014 Stakeholders Empowerment Services (SES), Institutional Investor Advisory Services (IiAS) and InGovern.<\/p><p>(A qualified opinion by an auditor means that they are unable to give a clean or unqualified audit opinion. An unqualified opinion is issued if the financial statements are presumed to be free from material misstatements).<\/p><p>Kurien has been a member of the audit committee of Dish TV since May 2018 and the statutory auditors have qualified their opinion on internal financial controls citing material weaknesses in the company\u2019s internal financial controls, said IiAS.<\/p><p>\u201cWe note that the statutory auditors had issued a qualified opinion on Dish TV\u2019s FY20 financial statements on similar grounds. We believe, Ashok Mathai Kurien, being a part of the audit committee, is accountable for the inadequacies in the internal financial controls.
