{"id":50562,"date":"2022-06-28T15:27:00","date_gmt":"2022-06-28T09:57:00","guid":{"rendered":"https:\/\/tradebrains.in\/features\/?p=50562"},"modified":"2022-06-28T15:24:12","modified_gmt":"2022-06-28T09:54:12","slug":"biz-sebi-bharti-infratel","status":"publish","type":"post","link":"https:\/\/tradebrains.in\/features\/biz-sebi-bharti-infratel\/","title":{"rendered":"Sebi penalises Bharti Infratel for flouting regulatory norms"},"content":{"rendered":"<div class=\"trade-content_2\" style=\"margin-left: auto;margin-right: auto;text-align: center;\" id=\"trade-2941805997\"><p><a href=\"https:\/\/tradebrains.in\/get\/telegram\/\"><img decoding=\"async\" class=\"alignnone wp-image-101992\" src=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2023\/01\/telegram-channel-300x119.png\" alt=\"\" width=\"148\" height=\"59\" \/><\/a> <a href=\"https:\/\/news.google.com\/publications\/CAAqBwgKMN3Epgswxc--Aw?hl=en-IN&amp;gl=IN&amp;ceid=IN%3Aen\"><img decoding=\"async\" class=\"alignnone wp-image-123430\" src=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-300x82.png\" alt=\"follow-on-google-news\" width=\"222\" height=\"61\" srcset=\"https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-300x82.png 300w, https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news-150x41.png 150w, https:\/\/tradebrains.in\/features\/wp-content\/uploads\/2024\/05\/follow-on-google-news.png 468w\" sizes=\"(max-width: 222px) 100vw, 222px\" \/><\/a><\/p>\n<\/div><p>Capital markets regulator Sebi has imposed a penalty of Rs 1 lakh on Bharti Infratel, now known as Indus Towers, for flouting rules pertaining to employee stock option schemes.<\/p><div class=\"trade-content_7\" style=\"margin-left: auto;margin-right: auto;text-align: center;\" id=\"trade-557665330\"><!-- Composite Start --> \r\n <div id=\"M923760ScriptRootC1549812\"> \r\n <\/div> \r\n <script src=\"https:\/\/jsc.mgid.com\/t\/r\/tradebrains.in.1549812.js\" async> \r\n <\/script> \r\n <!-- Composite End --><\/div>\n<p>In its order, Sebi found that\u00a0Bharti Infratel violated the provisions of the SBEB (Share Based Employee Benefits) by not appropriating the excess 5,32,862 shares of the company within the stipulated timeline of March 31, 2017.<\/p>\n<p>In its exemption application filed by the company in October 2019, Bharti Infratel informed Sebi that it has a surplus of 5,32,862 shares of the company in ESOP Trust as on March 31, 2017, which could not be appropriated in terms of SBEB rules.<\/p>\n<p>Bharti Infratel&#8217;s name was changed to Indus Towers in December 2020, following the merger of Bharti Infratel and Indus Towers.<\/p><div class=\"trade-content_5\" id=\"trade-2764009699\"><script async src=\"https:\/\/pagead2.googlesyndication.com\/pagead\/js\/adsbygoogle.js?client=ca-pub-4023722985638610\"\r\n     crossorigin=\"anonymous\"><\/script>\r\n<!-- in_content_2_news -->\r\n<ins class=\"adsbygoogle\"\r\n     style=\"display:block\"\r\n     data-ad-client=\"ca-pub-4023722985638610\"\r\n     data-ad-slot=\"7925020301\"\r\n     data-ad-format=\"auto\"\r\n     data-full-width-responsive=\"true\"><\/ins>\r\n<script>\r\n     (adsbygoogle = window.adsbygoogle || []).push({});\r\n<\/script><\/div>\n<p>As the shares acquired through the secondary market were locked in for a period of six months under the rules, the company instead issued fresh shares in FY 2015-16 against options that were exercised by employees.<\/p>\n<p>These shares are the balance shares remaining in the ESOP Trust that were acquired between February and March 2015 in the secondary market against sufficient live options.<\/p>\n<p>These shares, however, subsequently became unappropriated due to non-utilisation of such shares for transfer to employees owing to the requirement of mandatory lock-in period of six months applicable for secondary acquisition under the rules.<\/p>\n<p>The company was required to align its schemes with the SBEB Regulations, which it failed to do.<\/p>\n<p>&#8220;The noticee after utilising the time available and thereafter delaying any action on its part for 2.5 years, at this stage cannot take the plea that it was prejudiced by regulatory restrictions.<\/p>\n<p>&#8220;Therefore, it is noted that the noticee is belatedly taking shelter under an assumed limitation of the SBEB Regulations while it had all along known the applicability of the SBEB Regulations and the need for compliance on or before March 31, 2017,&#8221;
