Shares of Route Mobile Limited are likely to remain in focus after the company announced that its wholly owned subsidiary, Route Connect Private Limited, has signed a Business Transfer Agreement to acquire the identified business undertaking of Heltar Technologies Private Limited, an AI-driven omnichannel customer engagement platform provider.

Route Mobile Limited has a total market capitalization of approximately Rs. 3702 crore. The company’s shares were trading at Rs. 587.50 apiece on the stock exchange, up by 0.80 percent. The stock has gained 6.52 percent over the last five trading sessions, while it has gained 11.49 percent over the last month. The stock touched a 52-week high of Rs. 1082 and a 52-week low of Rs. 411.

According to the company’s exchange filing, the acquisition will be undertaken on a slump sale basis, with Heltar transferring the identified business undertaking to Route Connect as a going concern. The transaction includes the Heltar brand and intellectual property, technology platform, customers and employees, while Heltar’s founding team will continue to lead the platform within Route Mobile. The transaction will be funded through Route Mobile’s available cash and is expected to close in the coming weeks, subject to customary closing conditions.

Heltar operates an AI-driven omnichannel customer engagement platform that converts communication workflows into automated customer journeys. Its chatbot and automation capabilities span WhatsApp and Rich Communication Services (RCS), while its no-code and prompt-driven platform allows enterprises to configure and launch new use cases in days rather than months. The platform is also expanding into voice through WhatsApp Business Calling and traditional channels, along with AI-driven communication analytics.

The acquisition is expected to strengthen Route Mobile’s non-SMS business by adding Heltar’s AI-native chatbot, voice and analytics capabilities to its existing portfolio. Route Mobile already operates across messaging, voice, email and identity and verification solutions, and the addition of Heltar could enable the company to offer a broader customer engagement platform to enterprise clients across India and international markets.

The transaction also aligns with Route Mobile’s strategy of pursuing targeted acquisitions in artificial intelligence. By combining Heltar’s AI-driven technology with Route Mobile’s existing enterprise customer base and global distribution network, the company could potentially cross-sell new engagement solutions to customers already using its messaging, voice and identity services. Management expects the benefits of the acquisition to build over the medium term.

The enterprise communications industry is increasingly shifting from traditional SMS-based communication toward richer and more interactive channels such as WhatsApp, RCS, voice and AI-powered conversational platforms.
