Following the acquisition, the sponsor’s holding increased from 6,64,50,000 units to 9,16,60,084 units, while its unitholding remained at 15 percent following the preferential issuance of new units by the trust. The disclosure was made to the exchanges on June 19, 2026.

The transaction is significant because sponsor participation in a preferential issue is generally viewed as a positive signal by investors, reflecting confidence in the long-term growth prospects of the InvIT. The capital raised through such issuances can support future acquisitions, debt reduction, or expansion of the trust’s infrastructure asset portfolio.

Infrastructure Investment Trusts (InvITs) have emerged as an increasingly important financing platform for India’s infrastructure sector. They enable developers to monetize operational assets while providing investors with exposure to stable, income-generating infrastructure projects through periodic distributions.

India’s infrastructure sector continues to witness significant government support through higher capital expenditure on highways, expressways, logistics corridors, and transportation infrastructure. As operational infrastructure assets continue to expand, InvITs are expected to play a key role in attracting long-term institutional and retail capital into the sector.

Incorporated in 2022, Indus Infra Trust is a SEBI-registered Infrastructure Investment Trust (InvIT) sponsored by Aadharshila Infratech Private Limited. The trust owns and manages operational road infrastructure assets across India, generating stable cash flows through toll and annuity-based projects while aiming to provide regular distributions to its unitholders.
