51% Stake in Premdhara Agro

According to the exchange filing, Tradio Exim Private Limited (TEPL), a subsidiary in which V R Infraspace holds a 70% equity stake, has acquired 51% of the equity share capital of Premdhara Agro India Private Limited (PAIPL) during the reporting quarter. As a result of the acquisition, PAIPL has become a subsidiary of TEPL and consequently a step-down subsidiary of V R Infraspace Limited.

The acquisition gives the V R Infraspace group a controlling interest in Premdhara Agro, enabling it to consolidate the acquired company within its corporate structure. 

While the filing does not disclose the transaction value, funding mechanism, or strategic rationale, the majority stake provides the group with management control over the business and expands its subsidiary network.

Strengthening the Group’s Corporate Portfolio

The latest acquisition further strengthens V R Infraspace’s corporate ecosystem, which already includes Tradio Exim Private Limited (70% stake), Daxon Industries Private Limited (70% stake), and Daxon Realty Limited (51% stake).

As a result, EPS strengthened significantly to Rs. 3.12 from Rs. 1.30, highlighting improved earnings generation and stronger shareholder value creation during the period.

The company also maintains a healthy financial position with working capital of Rs. 64.4 crore, a current ratio of 2.70, and a book value of Rs. 45.3 per share, indicating comfortable liquidity. 

Over the longer term, the business has demonstrated strong execution, delivering a 3-year sales CAGR of 60% and 5-year sales CAGR of 42%, while profit has compounded at 40% over five years, supported by healthy ROCE of 19.2% and ROE of 10.2%.
