Shares of C2C Advanced Systems Ltd, with a market capitalisation of Rs. 569 crore, were locked at the lower circuit of Rs. 335.15, down nearly 20 percent on Monday. The stock has corrected sharply and currently trades about 62 percent below its 52-week high of Rs. 888, while declining over 46 percent during the past one year.

C2C Advanced Systems’ board meeting held on July 18, 2026, approved the audited financial results for the half-year and full year ended March 31, 2026. However, the company’s statutory auditor, LABS & Associates, issued a qualified opinion and highlighted significant concerns regarding the company’s ability to continue as a going concern.
The auditor noted that the company is facing a liquidity crunch, has pending statutory dues, and has not witnessed meaningful recovery from its trade receivables. The report further stated that C2C remains substantially dependent on short-term financial support from promoter entities to continue its operations.
The audit report also highlighted delays in statutory tax filings, unrealised export receivables pending under FEMA timelines, and pending regulatory approval for SOFTEX registration applications. Additionally, the auditors pointed out uncertainties related to CSR expenditure accounting and the potential impact of the new Labour Code, which has not yet been quantified.
Separately, the board approved the appointment of Krishnamurthy Chandra as Chief Executive Officer with effect from July 18, 2026. The company also appointed Neha Gupta as an Independent Director and inducted her into the Audit Committee. The board additionally considered comments related to a notice received from the NSE.
Financial & Business Analysis
Despite the auditor’s concerns, C2C reported strong operational growth during FY26. Revenue from operations increased by nearly 26.5 percent to Rs. 145.64 crore, compared to Rs. 115.11 crore in FY25. The growth was primarily driven by the company’s expanding international operations, particularly in the United States segment.
However, profitability declined considerably. Profit before tax fell to Rs. 27.44 crore from Rs. 41.12 crore in FY25, while net profit declined by around 36 percent to Rs. 18.33 crore. Basic earnings per share also dropped sharply to Rs. 10.92, compared with Rs. 21.07 in the previous year.
The balance sheet highlights the liquidity concerns raised by auditors. Trade receivables surged to Rs. 240.30 crore as of March 2026 from Rs. 109.96 crore a year earlier, indicating a significant increase in collections outstanding. Trade payables also increased sharply to Rs. 61.80 crore from only Rs. 2.57 crore, reflecting stretched working capital conditions.
Operating cash flow remained negative at Rs. 17.95 crore during FY26, although this represented a substantial improvement from the negative operating cash flow of Rs. 115.24 crore recorded in FY25. Short-term borrowings also increased to Rs. 45.32 crore from Rs. 37.61 crore, indicating rising reliance on external funding.
The company had also utilised a substantial portion of its IPO proceeds towards working capital requirements, security deposits, fit-outs, and general corporate purposes. As of March 31, 2026, only around Rs. 0.11 crore of IPO proceeds remained unutilised.
Industry & Strategic Analysis
C2C operates in niche areas such as C5ISR systems, AI/ML platforms, cyber solutions, and Industry 4.0 technologies for defence and homeland security applications. The company stands to benefit from increasing government focus on indigenous defence technologies and rising domestic procurement.

Nevertheless, resolving receivable collections, improving cash flows, and addressing regulatory and compliance observations highlighted by auditors will likely remain immediate priorities.
